These Terms and Conditions govern the legal agreement between GO&PARTNERS UK LIMITED ("GoFormed", "we", "us") and you ("the Client") regarding all services provided. By using our website or purchasing any service, you agree to be bound by these Terms.
1. Introduction and General Provisions
These Terms and Conditions ("Terms") govern the legal agreement between GO&PARTNERS UK LIMITED ("we", "us", "our", or "the Company") and you ("the Client", "you", "your") regarding the provision of our digital company formation, shelf company services, business administration, and corporate facilitation services.
GO&PARTNERS UK LIMITED (Companies House Reg. No. 16508115) operates as a professional Digital Company Formation and Service Provider. By accessing our platform, utilising our digital infrastructure, or purchasing any of our corporate services, you expressly agree to be bound by these Terms.
If you are entering into these Terms on behalf of an entity, you represent that you have the legal authority to bind that entity to this agreement.
2. Role of the Service Provider and Partnered ACSPs
2.1 Digital Facilitation
GO&PARTNERS UK LIMITED operates as a digital interface and professional service facilitator. Where company formation requires ACSP authorisation under the Economic Crime and Corporate Transparency Act 2023, our platform securely routes applications to our network of verified, independent Authorised Corporate Service Providers (ACSPs).
2.2 Reliance on Third-Party Authorisation
The final authorisation, physical registration, and mandatory compliance approval tests (e.g. KYC/AML) are conducted by independent ACSPs and relevant UK Government authorities. GoFormed cannot be held liable for rejections, compliance failures, or processing delays caused by partner ACSPs or regulatory bodies.
2.3 Shelf Company Transfers
GoFormed directly manages and facilitates the transfer of shelf (ready-made) companies from GoFormed-held entities to clients. All shelf company transfers are subject to our KYC/AML procedures, which must be successfully completed before any transfer is made.
3. Payment Processing, Fees, and Cancellations
3.1 Payment
All fees must be settled in cleared funds prior to commencement of any service. We accept payment via Stripe, PayPal, or direct bank transfer. Prices are quoted in GBP (Pounds Sterling) unless otherwise stated.
3.2 Third-Party Surcharges
For international wire transfers, minor processing fees or currency conversion costs may be incurred. These are external to our pricing and are the responsibility of the Client.
3.3 Cancellation and Refund Policy
Because our administrative processes begin immediately upon order placement, refund requests are subject to internal review. If an application is rejected due to incorrect information provided by the client or failure to pass compliance checks, no refunds will be issued for resources already expended. GoFormed reserves the right to refuse service to any party at its sole discretion.
4. Shelf Company Sales
4.1 Company Condition
All shelf companies sold by GoFormed have been dormant since incorporation, with no trading activity, no liabilities, and all statutory filings up to date at the time of listing. GoFormed provides a clean history guarantee and conducts pre-sale verification checks on each company.
4.2 Transfer Process
Transfer of directorship and/or shareholding is subject to successful KYC/AML verification of all incoming directors and beneficial owners. GoFormed will not proceed with any transfer until verification is satisfactorily completed in accordance with UK Money Laundering Regulations.
4.3 Same-Day Transfer
Same-day transfer is offered as a best-endeavours service and is subject to: successful KYC completion, cleared payment received before 13:00 on a business day, and Companies House acceptance of electronic filings. GoFormed cannot guarantee same-day transfer in all circumstances.
4.4 Company Name and Registration Details
Full company names, registration numbers, and VAT/EORI details are only disclosed to verified clients upon confirmed enquiry. Publicly listed company details on our website are partially redacted.
5. Identity Verification (KYC/AML)
5.1 Regulatory Requirement
All clients engaging our formation and transfer services are legally required to pass KYC identity verification in accordance with UK Anti-Money Laundering (AML) regulations and the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017.
5.2 Required Documents
You must supply: a valid primary government-issued photo ID (passport or driving licence), and a recent proof of residential address (utility bill or bank statement issued within 3 months).
5.3 Compliance Failures
If any associated individual fails the identity verification process or provides irregular documentation, GoFormed is legally compelled to suspend the process. Confirmed fraudulent submissions may be reported to the appropriate UK authorities, including HMRC and the National Crime Agency.
6. Registered Office and Business Address Services
The registered office address service licenses you to use our allocated address solely for the statutory purpose of receiving official government mail from HMRC, Companies House, HM Courts, and other government bodies. It does not permit use as a physical trading address, retail location, or general parcel depot.
Address services are provided on a 12-month subscription basis. Failure to renew will result in the address licence lapsing at expiry date. GoFormed provides renewal reminders, but the obligation to renew rests with the Client.
7. New Company Formations
Standard new company formations are generally registered within 24 to 48 business hours following submission. This is a median estimate and does not constitute a binding guarantee. Delays at the Companies House registry level are outside GoFormed's control.
GoFormed performs real-time name availability checks against the Companies House index. Final acceptance rests with the Companies House registrar. If a chosen name is declined, we will request an alternative at no additional service charge.
8. Limitation of Liability
To the fullest extent permitted by applicable law, GoFormed shall not be liable for: indirect, incidental, special, consequential, or punitive damages arising from use of our services; losses suffered due to decisions made based on information provided; losses resulting from delays at Companies House or HMRC; or any loss of business, profit, revenue, or goodwill.
Our total aggregate liability to any Client in connection with any service shall not exceed the total fees paid by that Client for the specific service giving rise to the claim.
9. Intellectual Property
All content on this website, including text, graphics, logos, and code, is the property of GO&PARTNERS UK LIMITED and is protected by UK and international copyright law. You may not reproduce, distribute, or commercially exploit any content without express written permission.
10. Privacy and Data Protection
GoFormed processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Please refer to our Privacy Policy for full details.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
